Software Licence

This Software Licence ("Licence") governs your use of the compiled Blackwood Expert Advisor and indicator files (the "Software") distributed to you under a valid Blackwood licence key, as part of the Blackwood Trading Brain product. It supplements our general Terms of Use.

1. Grant of Licence

Subject to your compliance with this Licence and payment of applicable fees, Blackwood grants you a limited, non-exclusive, non-transferable licence to install and use the Software, in compiled form only, on the trading accounts covered by your licence key.

2. Licence Key & Activation

Each copy of the Software requires a valid licence key to operate. Blackwood may validate your licence key periodically to confirm it remains active and in good standing. Software will not function, or will stop functioning, if your licence key is invalid, expired, or has been revoked.

3. Licence Term

• Pro plan — the Software licence remains active for as long as your Pro subscription is active and in good standing.
• Lifetime plan — the one-time Lifetime fee grants permanent access to Blackwood's platform and analysis features. The Expert Advisor and indicator licence key issued alongside a Lifetime plan carries its own separate 12-month licence term and must be renewed periodically to keep the compiled Software active; this does not affect your permanent access to the platform itself.

4. What You May Not Do

You agree not to:

• Share, sell, sublicense, or transfer your licence key or the Software to any other person or account
• Copy, redistribute, or make the Software available to third parties
• Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying logic of the Software
• Modify, rebrand, or create derivative works from the Software
• Use the Software to build a competing product or service
• Circumvent, disable, or interfere with the Software's licence-validation mechanism

Only compiled, non-readable versions of the Expert Advisor and indicators are ever distributed. No source files are provided under any plan.

5. Ownership

The Software, including all underlying code, algorithms, and trade secrets, remains the exclusive property of Blackwood LLC. This Licence gives you the right to use the Software; it does not transfer any ownership, copyright, or intellectual property rights to you.

6. Updates

Blackwood may release updated versions of the Software from time to time. Continued use of the Software after an update is released may require you to install the latest version to remain compatible with the licence-validation system.

7. Termination

This Licence terminates automatically if you breach any of its terms, including unauthorized sharing or reverse-engineering attempts. Blackwood may revoke your licence key immediately upon a violation, without refund. You may also stop using the Software at any time.

8. No Warranty

The Software is provided "as is," without warranty of any kind. Blackwood does not warrant that the Software will be error-free, uninterrupted, or produce any particular trading outcome.

9. Limitation of Liability

To the fullest extent permitted by law, Blackwood LLC shall not be liable for any losses arising from your use of, or inability to use, the Software.

10. Governing Law

This Licence is governed by the laws of the Republic of Ghana.
