This Software Licence ("Licence") governs your use of the compiled Blackwood Expert Advisor and indicator files (the "Software") distributed to you under a valid Blackwood licence key, as part of the Blackwood Trading Brain product. It supplements our general Terms of Use.
Subject to your compliance with this Licence and payment of applicable fees, Blackwood grants you a limited, non-exclusive, non-transferable licence to install and use the Software, in compiled form only, on the trading accounts covered by your licence key.
Each copy of the Software requires a valid licence key to operate. Blackwood may validate your licence key periodically to confirm it remains active and in good standing. Software will not function, or will stop functioning, if your licence key is invalid, expired, or has been revoked.
The Software licence key issued with a Lifetime plan is valid for 12 months from the date of issue. The first 12-month term is included in the one-time Lifetime fee at no additional charge.
Each subsequent 12-month term is charged at USD $100 per year, or the equivalent in Ghana cedis at the exchange rate applied at the time of payment. Renewal is optional and is never charged automatically — no recurring billing authority is taken, and no payment is collected unless you initiate it.
Blackwood may change the annual fee for future terms. Any change will be published on our website and will not apply to a term you have already paid for.
We will attempt to notify you before your licence key expires, by email and within your Blackwood account. Notification is a courtesy; it is your responsibility to keep track of your own expiry date, which is shown in your account at all times.
After the expiry date, the Software continues to operate for a grace period of 14 days, during which it will display a renewal reminder. If the licence key has not been renewed by the end of the grace period, the key becomes inactive and the Expert Advisor and indicators will stop running.
A lapsed licence key affects the compiled Software only. It does not affect a Lifetime plan holder's access to the Blackwood platform, dashboards, analysis modules, or any data already in the account, all of which remain available regardless of the licence key's status.
You may renew a lapsed key at any time. On renewal, a new 12-month term begins from the date of renewal, or from the previous expiry date if that date has not yet passed, so that renewing early does not shorten the term you have paid for. Renewal restores the existing licence key; a new key is not issued and your installation does not need to be replaced.

The Software, including all underlying code, algorithms, and trade secrets, remains the exclusive property of Blackwood LLC. This Licence gives you the right to use the Software; it does not transfer any ownership, copyright, or intellectual property rights to you.
Blackwood may release updated versions of the Software from time to time. Continued use of the Software after an update is released may require you to install the latest version to remain compatible with the licence-validation system.
This Licence terminates automatically if you breach any of its terms, including unauthorized sharing or reverse-engineering attempts. Blackwood may revoke your licence key immediately upon a violation, without refund. You may also stop using the Software at any time.
Allowing a licence key to lapse by not renewing it is not a breach of this Licence. A lapsed key simply becomes inactive as described in Section 5 and may be renewed later.
The Software is provided "as is," without warranty of any kind. Blackwood does not warrant that the Software will be error-free, uninterrupted, or produce any particular trading outcome.
To the fullest extent permitted by law, Blackwood LLC shall not be liable for any losses arising from your use of, or inability to use, the Software.
This Licence is governed by the laws of the Republic of Ghana.
